This Confidentiality and Non-Disclosure Agreement (this "Agreement") is made as of May 18, 2025, by and between CareEcho, an AI-powered healthcare platform, on the one hand, and the recipient party (the "Receiving Party"), on the other hand, with reference to the following:

1. Confidential Information.

(a) For purposes of this Agreement, the term "Confidential Information" means all proprietary and non-public information disclosed by CareEcho to the Receiving Party, including but not limited to business strategies, financial information, technical data, user data, algorithms, software, source code, product designs, and any other materials marked as confidential or that a reasonable person would consider confidential under the circumstances.

(b) Confidential Information does not include information that: (i) is or becomes publicly available without breach of this Agreement by the Receiving Party; (ii) is already known to the Receiving Party at the time of disclosure without confidentiality obligations; (iii) is independently developed by the Receiving Party without use of the Confidential Information; or (iv) is required to be disclosed by law.

2. Non-Disclosure of Confidential Information.

The Receiving Party agrees to hold all Confidential Information in strict confidence and shall not disclose, use, or permit its use for any purpose other than evaluating or engaging in a business relationship with CareEcho, without the prior written consent of CareEcho.

3. Return or Destruction of Confidential Information.

Upon termination of this Agreement or upon CareEcho's request, the Receiving Party shall promptly return or destroy all Confidential Information, including any copies, summaries, or derivations.

4. Miscellaneous.

This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior discussions, agreements, or understandings. This Agreement may only be amended by a written document signed by both parties.

This CareEcho User Agreement ("Agreement") is a legally binding document between you ("User") and MG Consultant LLC ("Company"), the owner and operator of the CareEcho application ("CareEcho" or "App"). By accessing or using CareEcho, you agree to be bound by this Agreement. If you do not agree to these terms, you must immediately discontinue use of the App.

1. Acceptance of Terms

By creating an account or using the CareEcho App, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
If you do not agree with this Agreement, you must not access or use CareEcho.

2. No Medical Advice

CareEcho is an information and self-help tool designed to support your mental and emotional well-being by tracking your mood, symptoms, and providing general wellness insights.
CareEcho is NOT a substitute for professional medical advice, diagnosis, or treatment. You should always consult a qualified healthcare provider for medical concerns, conditions, or emergencies.
The information provided by CareEcho is for educational and informational purposes only. Any decisions you make based on this information are your sole responsibility.

3. Not FDA-Approved

CareEcho is NOT an FDA-approved medical device.
The App is not intended to diagnose, treat, cure, or prevent any disease.
Use of CareEcho is at your own risk. The Company makes no claims regarding the medical effectiveness of any information or tools provided by the App.

4. User Eligibility

You must be at least 18 years old to use CareEcho.
By using CareEcho, you confirm that you are legally permitted to enter into this Agreement.

5. Account Registration and Security

You are required to create an account to use CareEcho. You agree to provide accurate and complete information during registration.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to notify the Company immediately of any unauthorized access or use of your account.

6. User Responsibilities

You are solely responsible for the accuracy of any information you provide to CareEcho, including but not limited to your symptoms, mood data, or other personal information.
You agree not to misuse CareEcho, including but not limited to:
- Attempting to use it for medical emergencies.
- Using it as a substitute for a healthcare provider.
- Engaging in any illegal activities.

7. Privacy and Data Protection

CareEcho collects and processes your personal data in accordance with its Privacy Policy, which is incorporated into this Agreement by reference.
Your data is stored securely and will not be shared with third parties without your consent, except as required by law.
You have the right to access, modify, or delete your personal data in accordance with our Privacy Policy.

8. Intellectual Property Rights

All content, graphics, text, designs, user interfaces, trademarks, logos, and other materials within CareEcho are owned by MG Consultant LLC or its licensors.
You are granted a limited, non-exclusive, non-transferable license to use CareEcho for personal, non-commercial use.
You may not copy, reproduce, distribute, or create derivative works from CareEcho without the Company's express written consent.

9. Prohibited Activities

You agree not to:
- Use CareEcho for any unlawful purpose.
- Access or attempt to access any non-public areas of the App.
- Interfere with or disrupt the security of the App.
- Reverse engineer or attempt to extract the source code of CareEcho.

10. Limitation of Liability

The Company is not liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of your use of CareEcho.
In no event shall the Company's total liability exceed the amount you paid (if any) to use the App.

11. Disclaimer of Warranties

CareEcho is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
The Company does not warrant that CareEcho will be error-free, secure, or continuously available.

12. Modifications to the Agreement

The Company reserves the right to modify this Agreement at any time. Any changes will be effective upon posting the revised Agreement in the App.
Your continued use of CareEcho after such changes constitutes acceptance of the revised Agreement.

13. Suspension and Termination

The Company reserves the right to suspend or terminate your access to CareEcho for any violation of this Agreement or for any other reason at its sole discretion.
Upon termination, your right to use CareEcho will cease immediately.

14. Dispute Resolution and Governing Law

This Agreement is governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
Any disputes arising out of or in connection with this Agreement shall be resolved exclusively in the state or federal courts located in California.

15. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including attorney fees) arising from your use of CareEcho or any violation of this Agreement.

16. Entire Agreement

This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and the Company regarding your use of CareEcho.
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
